Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and E&EL Global Inc. covering your use of Lili. By creating an account, installing the software, or otherwise using Lili, you agree to these Terms. If you don't agree, please don't sign up.

1. What you're signing up for

Lili is a privacy-first AI assistant operated by E&EL Global Inc. ("we", "us"), available at hey-lili.com. Lili is actively developed software: it is improved frequently and behaviour can change between updates.

2. Who may use Lili

You must be at least 18 years old, and you may use Lili only for your own lawful use. One account per person. If you use Lili on behalf of an organization, you represent that you are authorised to bind that organization to these Terms.

3. Your account and credentials

Keep your password, app key, and any device that is signed in secure. You are responsible for activity under your account. Tell us right away if you think someone else has accessed it.

4. What you can — and can't — do

We grant you a limited, revocable, non-transferable, non-exclusive licence to install and use Lili for your own use. You must not:

Bring your own model key. On the Free tier you connect your own key for an AI provider (such as Anthropic). Your prompts and the model's responses go directly from your device to that provider under your own key — they do not pass through E&EL's servers — and Lili applies on-device redaction to reduce the personal data in a request before it is sent (this is best-effort, not a guarantee; you remain responsible for what you send). You supply and are responsible for your own key: it is stored on your device in your operating system's secure credential store, never on our servers; you pay your provider directly for their usage; and your use of the model is subject to that provider's terms and acceptable-use policies. If you don't supply a key, model features are unavailable — Lili will not route your requests through us instead.

Some optional features send content off your device. Most of Lili runs locally, but if you choose to use them: the optional meeting bot sends meeting content to a third-party capture provider and through our servers (the default on-device capture keeps it on your machine); an enabled messaging channel such as Slack relays message content through our servers; and web search sends your query to a third-party search provider. These are described in the Privacy Policy.

5. Lili takes real actions — your call to make

Lili can read and write files on your computer, launch applications, and — for any services you choose to connect — send messages and modify your accounts. AI assistants make mistakes. You are responsible for the instructions you give Lili and for reviewing the actions it takes. Do not let Lili do anything that you can't afford to have go wrong — keep your own backups of important data, and be careful connecting production accounts. On-device redaction reduces but does not guarantee removal of sensitive data from what you send to your AI provider; review requests yourself where sensitivity matters.

6. AI output may be wrong

Anything Lili says or generates is produced by AI models and may be inaccurate, incomplete, or unsuitable for your purpose. It is not professional advice (legal, medical, financial, or otherwise). Check output before relying on it.

7. Intellectual property and your content

Our IP. Lili, including the software, brand, and all related intellectual property, is owned by us and our licensors. These Terms grant you only the limited licence in section 4 and transfer no other rights.

Your content. "Your Content" means the inputs you provide to Lili and the outputs generated for you in response. As between you and us, you retain ownership of your inputs, and to the extent we hold any rights in the outputs, we assign them to you. Outputs are provided "as is"; because of how AI works, similar or identical output may be generated for other users, and you are responsible for evaluating outputs before relying on them. Your use of inputs and outputs must comply with these Terms and the AI providers' acceptable-use policies.

On the Free tier, your prompts and the model's responses do not pass through us — they go directly from your device to your AI provider under your own key — so we do not host, store, or process that conversation content. We process only the limited data described in our Privacy Policy (such as account details, licensing identifiers, and content-free redaction-activity summaries) and, where you use the optional features noted in section 4, the content those specific features transmit. To the extent we process any of Your Content to operate those features, you grant us a limited licence to host and process it solely for that purpose. We do not use Your Content to train AI models.

8. Fees and your model provider

The Lili application is free on the Free tier. E&EL does not charge you for the Free application and does not bill you for AI-model usage. Because you connect your own provider key, you pay your AI provider directly for their usage under your agreement with them; we do not receive or mark up those charges, and we are not responsible for the provider's pricing, availability, or handling of your data.

Enterprise and any paid offerings. Enterprise deployments and any future paid plans are governed by a separate written agreement, which carries its own fees, credits, billing, renewal, and refund terms. Those commercial terms do not apply to the Free tier.

Where any fee applies under such a separate agreement, prices are exclusive of taxes, which we may add where required, and — except where a refund is required by law (including EU/UK/Swiss consumer withdrawal rights, which nothing here removes) — payments are non-refundable.

9. Privacy and data protection

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. Please read it to understand what we collect, our legal bases, international transfers, and your rights (including under the GDPR and the CCPA/CPRA). If you require a Data Processing Addendum for business use, contact us.

10. Feedback

We'd love your feedback — bug reports, ideas, frustrations. If you give us feedback, you grant us a perpetual, royalty-free, worldwide right to use it to improve Lili, with no obligation to you. We won't publish anything that identifies you without your consent.

11. "As is" — no warranties

Lili is provided "AS IS" and "AS AVAILABLE". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not promise Lili will be uninterrupted, secure, or error-free. Some jurisdictions don't allow these disclaimers in full, so parts of this section may not apply to you.

12. Limitation of liability

To the maximum extent permitted by law, E&EL Global will not be liable for indirect, incidental, special, consequential, or exemplary damages, lost profits, lost data, or business interruption arising out of or related to Lili. Our total aggregate liability to you arising out of or related to Lili is limited to the greater of (a) the total amount you paid us for the Service in the twelve months before the event giving rise to the claim and (b) USD 100. Nothing in these Terms limits liability that cannot be limited by law (for example, for fraud, or for death or personal injury caused by negligence), and nothing limits any mandatory rights you have under applicable consumer law.

13. Indemnification

To the extent permitted by law, you will defend and indemnify us against third-party claims, damages, and reasonable costs arising from your use of Lili in breach of these Terms or the law, from Your Content, or from your infringement of another person's rights. This section does not apply to the extent a claim results from our own breach, and it does not override mandatory consumer-law protections that apply to you.

14. Export controls and sanctions

You represent that you are not located in, and will not use Lili in, a country or region subject to comprehensive sanctions, and that you are not on any government denied-, restricted-, or sanctioned-party list. You agree to comply with applicable export-control and sanctions laws when using Lili.

15. Suspension and termination

We may modify or discontinue Lili, in whole or in part, with reasonable notice where practical. We may suspend or terminate your access if you breach these Terms or trigger our anti-abuse controls. You can stop using Lili at any time by uninstalling the software and deleting your account from the accounts portal — see the Privacy Policy for what happens to your data. Sections that by their nature should survive termination (including 7, 10–14, 18 and 19) survive.

16. Force majeure

Neither party is liable for any delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including acts of God, outages, network or provider failures, labour disputes, or governmental action.

17. Changes to these Terms

We may update these Terms from time to time; we'll post the new version here and update the version date above. For material changes we'll give reasonable notice. If you continue using Lili after a change takes effect, you accept the updated Terms.

18. Governing law and disputes

These Terms, and any dispute arising out of or relating to them or to your use of Lili, are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any such dispute, except that either party may seek injunctive relief in any court of competent jurisdiction. Nothing in this section removes any mandatory protection or right to bring a claim in your local courts that applicable consumer law in your country of residence gives you.

19. General

These Terms and the Privacy Policy are the entire agreement between you and us about Lili and supersede prior agreements on that subject. If any provision is held unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor (for example, in a merger or sale of assets). We may give you notices by email or in-product; you can reach us at the address below. Section headings are for convenience only.
